Terms of Service
These Terms of Service govern your use of the Invoance dashboard, API, SDKs, hosted MCP server, Evidence Rooms and related services (the “service”). By creating an account, or by using the service on behalf of an organization, you agree to these terms. If you accept them for an organization, you confirm that you are authorized to bind it, and “you” means that organization.
The service is for business use. The Privacy Notice explains how personal data is handled, and the Legal Notice covers use of this website. Where you and Invoance have signed a separate agreement or order form, that document takes precedence over these terms where they conflict.
The service
Invoance creates signed, time-stamped records of the events, documents and AI outputs you submit, and lets anyone with the record check it later. Each record carries a SHA-256 fingerprint and an Ed25519 signature made with a key held for your organization. Evidence Rooms lets you share files with named recipients and keeps a signed log of who opened and downloaded what.
A signature shows that a record was submitted to Invoance by your organization at the recorded time and has not changed since. It does not show that the content of the record is true, accurate, lawful or complete, and Invoance does not review it. Invoance is not a notary, a payment processor or a regulator, and it does not hold or move funds.
Features, limits and included volumes for each plan are listed on the pricing page. We may improve or change the service, and we will not materially reduce the core functions of a paid plan during a billing period you have already paid for.
Accounts and access
Give accurate information when you sign up and keep it current. You are responsible for everything done through your account, including by team members you invite, API keys you create, and AI tools you connect through the hosted MCP server.
Keep passwords, passkeys, authenticator codes and API keys secure and do not share them. Revoke keys and connections you no longer use. Tell us promptly through the contact page if you believe your account has been accessed without permission.
Plans, fees and billing
Paid plans, the Evidence Rooms plan and top-ups are charged at the prices shown on the pricing page or in your order form when you buy them. Prices exclude taxes, which are added where required.
Card payments are processed by Stripe. Invoance does not receive or store your full card number. Subscriptions are billed in advance, monthly or annually, and renew automatically for the same period until cancelled.
Upgrades apply straight away, with the difference charged pro rata on the next invoice. Downgrades take effect at the end of the current billing period. Included monthly volumes reset each billing period and unused volume does not carry over.
You can cancel from the Billing page at any time. The plan stays active until the end of the period already paid for, then the organization moves to the free Developer plan.
Fees already paid are not refundable, except where the law requires a refund or we have agreed otherwise in writing.
If a payment fails and is not resolved, the subscription may end and the organization moves to the Developer plan.
Your content
You keep all rights in the data, documents and files you submit (“your content”). You give Invoance permission to store, process, sign and display your content only as needed to provide the service to you, including on public proof pages you or your users open.
You are responsible for having the right to submit your content and a lawful basis for any personal data in it. Signed records cannot be edited after they are created, so do not place personal data or secrets in record fields unless you need them there. When we process personal data on your behalf, we do so on your instructions as your processor. If you need a data processing agreement, contact us.
Public proof links show a record's fingerprint, signature, timestamp and your organization's verified domain, plus any fields you chose to include in the record. Anyone who has the link can open it.
Evidence Rooms
Files in Evidence Rooms are encrypted in your browser before upload, with keys that only your team members' recovery passphrases or passkeys, your organization recovery key and the recipients you add can unlock. Invoance stores the encrypted files and cannot read their contents. If every key that can unlock a room is lost, its files cannot be recovered by us or anyone else, so keep the organization recovery key safe.
You choose who receives access to a room and are responsible for sending files only to people entitled to see them. Recipients open a room with a code sent to their email address. The room log records each open and download, including the recipient, time, IP address and device details, and is available to your organization.
Retention and leaving
Each plan keeps records for the retention period shown on the pricing page. When records pass that period, or when the organization moves to a plan with shorter retention, they are sealed: hidden from the dashboard and list endpoints, still checkable through verification, and shown again if you move back to a plan that covers them.
You can export records and proof bundles while your account is active. Proof bundles can be checked offline, without an Invoance account. To close your account or ask for deletion of data that is not part of a signed record, contact us.
Acceptable use
You must not use the service to:
Store or share content you have no right to, or use the service in breach of sanctions, export or data protection law.
Present a record as proving that its contents are true, or use Invoance records or proof pages to deceive or defraud anyone.
Distribute malware, illegal content, or content that infringes the rights of others.
Probe, scan or test the service's security without our written permission, bypass usage limits or access controls, or overload the service.
Resell or white-label the service without a written agreement with Invoance.
Website assistant
The chat assistant on the Invoance website gives answers generated by an AI model. Answers can be incomplete or wrong. They are not legal, financial or compliance advice and do not change these terms or any agreement with us. A member of our team may read a conversation or take it over to answer you directly.
Suspension and termination
We may suspend access, in whole or in part, if your use breaches these terms, puts the service or other customers at risk, or is required by law. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
You can stop using the service at any time. We may end these terms by notifying you if you seriously breach them and do not fix the breach within 30 days, or straight away where the law requires. Records that were already signed stay checkable through verification after the account ends.
Disclaimers
The service is provided “as is” and “as available”. To the maximum extent permitted by law, Invoance disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
Nothing in the service is legal, financial, tax or regulatory advice. Whether a record is accepted as evidence in a particular proceeding is decided by the people and bodies involved, and you should take qualified advice before relying on it.
Limitation of liability
To the maximum extent permitted by law, Invoance is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, however caused.
Invoance's total liability for all claims arising from or related to the service is limited to the greater of (a) the fees you paid to Invoance in the twelve months before the event giving rise to the claim, or (b) USD $100. Nothing in these terms limits liability that cannot be limited by law.
Indemnity
You will defend and indemnify Invoance against third-party claims arising from your content, or from your use of the service in breach of these terms or the law, and pay any resulting costs and damages finally awarded.
Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from them, except that either party may seek urgent relief in any competent court. This does not remove any mandatory consumer or local protections that apply to you.
Changes and contact
We may update these terms. For material changes we will give account owners at least 30 days' notice by email or in the dashboard before they take effect. If you do not agree, you can cancel before the change applies. Continuing to use the service after that date means you accept the updated terms.
Questions about these terms can be sent through the contact page.
